A landmark high-end commercial complex in Hexi District, Nanjing was developed by a project company jointly established by a famous American real estate firm and a renowned real estate fund. For the convenience of the exit of the real estate fund and taxation avoidance consideration, the project company was set up through multiple layers of offshore companies.
As the project moved forward, the two founders agreed upon an early exit of the real estate fund. For this purpose, a famous local Nanjing real estate firm was introduced. After multiple negotiations, it was agreed that the Nanjing firm would gradually take over the real estate fund with conditions attached. As a result, the transaction was very complex in its structure and needed a package of legal documents as support. Mr. Yang and his team provided comprehensive legal services for the American real estate firm in the transaction.
